EVENT: Voice&Data CEO Conclave 2008

ORGANISER: CyberMedia India Ltd (publisher of Voice&Data) incorporated under the Companies Act, 1956 and having registered office at Cyber House, B 35, Sector 32, Institutional, Gurgaon 122002.

PARTNER: A company, organization or individual who is a partner at the Voice&Data CEO Conclave 2008.

COST: The cost mentioned in the package does not include taxes. APPLICABLE TAXES WILL BE CHARGED EXTRA.

PAYMENT SCHEDULE: 50% advance at the time of agreement. Balance 50% one week before the scheduled date.

FORCE MAJEURE: In the event the Voice&Data CEO Conclave 2008 is abandoned, cancelled or suspended in whole or in part due to reasons of war, fire, national emergency, labour unrest, non-availability of hotel premises or any other cause, the organizer may, at their own discretion, refund in part the rental paid by the Partner after adjusting for the basic expenses incurred without any obligation to do so. The organizer will be under no liability for any actions, claims or losses that may be incurred by the Partner. Partners are advised to seek relevant insurance cover. Force Majeure clause will apply.

VIOLATION OF RULES: In the event of violation of any other above rules, the organizer will have the right to remove partnership material without any liability.

DISPUTES: Disputes, if any shall be settled by mutual arbitration. Failing a decision by arbitration, the courts of competent jurisdiction at Delhi only shall have the exclusive jurisdiction in all disputes arising under this contract and their decision will be final and binding on all parties concerned.

SUB-CONTRACT: The partner shall not assign and/or part with any part of this contract to any other party without the prior consent of the organizer in writing.

CONFIDENTIALITY: The partner agrees to keep confidential all information exchanged during the course of the business dealings, particularly related to rates, costs, and plans of the client, unless the information is already in the public domain, or is required to be disclosed under any legal requirement, regulation or rules. If the organizer has offered any special rates to the partner and it comes to the knowledge of the organizer that the partner has willfully shared the same with another partner or potential partner or any other agency for the purpose of establishing rate benchmarks or any other reason, the organizer will be within its rights to cancel the agreement and the rate card rates will apply.

NOTICES: Notices shall be in writing and addressed and faxed to the corporate office of the organizer at The Editor, Voice&Data, Cyber House, B 35, Sector 32, Institutional, Gurgaon 122002, Fax no. 91-124-2380694, and to the above address of the client, or at such addresses as may be communicated to the other party, and shall first be transmitted by fascimile / e-mail and then confirmed by postage/ registered mail / courier.

CANCELLATION CLAUSE: In case a partner wishes to withdraw partnership, 50% of the amount will be refunded if the cancellation is done 1 month prior to the event and 25% will be refunded if the cancellation is done 15 days prior to the event. No amount will be refunded if the partnership is withdrawn less than a week before the event.

NON-COMPETING VENDORS: Clause except where specifically mentioned, multiple partners can be associated with a partnership category. Unless specifically agreed in writing, competing organizations can take up partnerships and in no category is there an exclusive arrangement.

TOPICS OF PRESENTATION: Topics of the partners presentation should be on the theme / subject of the event. It is advised that the partners should not make company's sales pitch during the speaking slot provided to them. Partners should share their presentations with Cyber Media at least four days prior to the event.

SERVICE TAX NOTIFICATION: As per Govt. notification, the recipient of partnership services is responsible for paying the service tax. Hence, any obligations of meeting service tax liability and related obligations shall entirely be on the partner and Cyber Media will not be responsible in any manner for discharging these obligations.
